Janus Electric Holdings (ASX: JNS) has secured firm commitments for an A$7.68 million private placement to fund the next stage of its North American expansion.
The company will issue 32 million new shares at A$0.24 each, with the placement supported by Australian small-cap institutional investment funds and completed without underwriting.
Proceeds will support working capital, supply chain requirements, and customer delivery infrastructure as Janus Electric progresses its North American order book valued at approximately A$55m.
Funding will also be directed towards market and product development, dealer-led conversion models, battery supply, and an expansion of sales and corporate support capabilities.
Placement Supports Expansion Plans
The A$0.24 issue price represents a 2.04% discount to Janus Electric’s last traded price of A$0.245 on 22 July, before the shares entered a trading halt.
It also reflects a 14.25% discount to the five-day volume-weighted average price (VWAP) of A$0.280 and a 10.07% discount to the 15-day VWAP of A$0.267.
Janus Electric will complete the placement in a single tranche under its existing capacity, with the new shares ranking equally alongside existing ordinary shares.
“The funding will assist Janus Electric as we progress customer deployments, expand our dealer-led conversion models, secure battery supply and build the systems and capabilities required to scale,” chief executive officer Ben Hutt said.
“We thank existing shareholders for their continued support and welcome new investors to the register as Janus Electric continues to build its position as an Australian technology company focused on zero-emission heavy transport.”
Facility Repayment Term Extended
Janus Electric has separately agreed with Rockford RDF to extend the repayment date for its research and development finance facility from 30 April 2027 to 31 August 2027.
All other material terms remain unchanged, while Janus Electric will issue Rockford 333,333 shares at A$0.15 each for total consideration of A$50,000.
Placement settlement is expected on 29 July, with allotment and normal trading of the new shares scheduled for 30 July.
